Magnus Andersen

Magnus Andersen deals primarily with commercial and company law with a particular focus on national and international mergers and acquisitions (M&A) within a number of sectors and industries.

In this connection, Magnus advises on investment structures, the drafting and negotiation of transaction documents (share and asset purchase agreements) as well as process management and the conduct of legal due diligence, and he has expertise in the entire process relating to such mergers and acquisitions and similar transactions.

Within company law, Magnus advises on all aspects and has knowledge of the creation of enterprises, reorganisation, venture investments, including both venture companies and venture-capital sponsors, regarding various means of raising capital, investments, convertible loans and venture debt. Magnus also assists in drafting commercial contracts in both Danish and English in the form of shareholders’ agreements, investment agreements, etc.

In addition, Magnus has experience in creating and setting up incentive schemes, including warrant programmes, as well as in advising startups.
